Remunerations of the Board of Commissioners and Board of Directors
Nomination and Remuneration Function
Until the end of 2018, the Company has not yet established a Nomination and Remuneration Committee as stipulated in the Financial Services Authority Regulation No. 34 / POJK.04 / 2014 on Nomination and Remuneration Committee of Issuers or Public Companies. The Company considers that these functions are still able to be fully implemented by the Board of Commissioners with the following duties and responsibilities:
In relation to its nomination function, the Board of Commissioners has the duty of:
1. Performing review on:
a. Composition and positioning of members of the Board of Directors and/or the Board of Commissioners;
b. Policies and criteria needed in the nomination process;
c. Composition and positioning of members of the Board of Directors and/or the Board of Commissioners;
2. Perform performance appraisal of members of the Board of Directors and/or the Board of Commissioners based on benchmarks that have been prepared as evaluation material;
3. Perform review of capacity building program of members of the Board of Directors and/or the Board of Commissioners; and
4. Propose candidates who fulfill the requirements to become members of the Board of Directors and/or the Board of Commissioners.
In relation to its remuneration function, the Board of Commissioners has the duty of:
1. Performing review on:
a. Remuneration structure;
b. Remuneration policy;
c. Remuneration amount; and
2. Perform performance appraisal in conformity with the remuneration received by each member of the Board of Directors and/or the Board of Commissioners.
